1. The Referral Partner will introduce prospective customers to Hydromech by completing and submitting a Referral Submission Form at any time during the term of this agreement.
2. A “successful referral” means a referral that results in a purchase order being placed with Hydromech and cleared payment being received by Hydromech from that customer.
3. The referred customer must not be an existing Hydromech account, nor have made direct contact with Hydromech in the 12 months prior to the referral submission.
4. Hydromech will confirm receipt of each referral form in writing within 1 business day, and notify the Referral Partner in writing when a referral converts to a purchase order.
5. The referral reward (as set out in Schedule A below) will be paid to the Referral Partner within 30 days of Hydromech receiving cleared payment from the referred customer.
6. The Referral Partner must not make technical commitments, provide pricing, or enter into any agreement on behalf of Hydromech. All such commitments are made exclusively by Hydromech.
7. Both parties agree to keep the existence of this agreement and all associated customer information strictly confidential.
8. Either party may terminate this agreement with 30 days’ written notice. Referrals already submitted and in progress at the time of termination remain eligible for the reward on successful conversion.
9. This agreement is governed by the laws of Victoria, Australia. Any dispute will be resolved in good faith between the parties before any formal proceedings are commenced.
